OVERVIEW

Welcome to Open Cellar. The terms “we”, “us” and “our” refer to Open Cellar. We operate this website and store (the “Services”), powered by Shopify.

By using our Services, you agree to these Terms and our Privacy Policy [LINK]. If you do not agree, you must not use the Services.

SECTION 1 – AGE RESTRICTIONS (ALCOHOL SALES)

You must be 18 years or over to purchase alcohol from Open Cellar.

By placing an order, you confirm that:

  • You are legally permitted to purchase alcohol in the UK
  • The recipient of the delivery is also over 18

We operate a Challenge 25 policy, and delivery partners may request ID upon delivery. We reserve the right to cancel or refuse any order where age verification cannot be satisfied.

SECTION 2 – ACCESS AND ACCOUNT

You agree to provide accurate and complete information when creating an account or placing an order.

You are responsible for maintaining the confidentiality of your account and for all activity under it.

SECTION 3 – PRODUCTS & FORMAT

Open Cellar provides curated wine tasting experiences, typically consisting of six 100ml wine samples (“Flights”).

We also offer one-off purchases and may offer full-bottle purchases via partner fulfilment.

All product descriptions are subject to change. Due to the nature of wine (vintage variation, storage, natural product), we do not guarantee that products will meet subjective expectations.

SECTION 4 – SUBSCRIPTIONS (CRITICAL SECTION)

4.1 Subscription Model

Open Cellar operates a quarterly subscription model, with curated Flights released periodically (“Drops”).

4.2 Billing

By subscribing, you authorise us to charge your payment method:

  • In advance of each quarterly Drop
  • On or around the billing date communicated to you

4.3 Cancellation

You may cancel your subscription at any time, provided that cancellation is made before the stated cut-off date (“Ledger Cut-Off”) for the upcoming Drop.

  • If you cancel after the cut-off date, your order for that Drop will still be fulfilled and charged
  • Cancellation will apply to future Drops only

4.4 No Minimum Term

There is no minimum commitment. However, subscription benefits may vary depending on active status.

SECTION 5 – ORDERS

All orders are subject to acceptance by Open Cellar.

We reserve the right to refuse or cancel orders at our discretion, including where:

  • Payment fails
  • Age verification cannot be completed
  • There is an error in pricing or product information

SECTION 6 – PRICING & PAYMENT

Prices are shown in GBP and include VAT unless stated otherwise.

We reserve the right to change pricing at any time.

You agree that:

  • Payment details are valid
  • You are authorised to use the payment method
  • You will pay all applicable charges

SECTION 7 – SHIPPING & DELIVERY (ALCOHOL SPECIFIC)

Delivery times are estimates only.

Alcohol deliveries:

  • Must be received by someone aged 18+
  • May require ID verification
  • Cannot be left unattended where age cannot be verified

Risk passes to you once goods are handed to the delivery carrier.

SECTION 8 – RETURNS & REFUNDS (IMPORTANT FOR WINE)

Due to the nature of alcohol and perishable goods:

  • We do not accept returns unless products are faulty, damaged, or incorrect
  • You must notify us within 48 hours of delivery for any issues

This does not affect your statutory rights under UK consumer law.

Note on cancellation rights:
Under the Consumer Contracts Regulations, the 14-day cooling-off period may not apply where goods are liable to deteriorate or are sealed alcohol products.

SECTION 9 – THIRD-PARTY FULFILMENT (KEY FOR YOUR MODEL)

Some products (e.g. full-case wine purchases) may be fulfilled by third-party partners.

In such cases:

  • The contract for sale may be between you and the partner
  • Open Cellar may receive a commission
  • We are not responsible for fulfilment delays or issues outside our control

SECTION 10 – INTELLECTUAL PROPERTY

All content, branding, and materials are owned by Open Cellar or its licensors.

You may not reproduce or use our content without permission.

SECTION 11 – PRIVACY

Your personal data is handled in accordance with our Privacy Policy [LINK] and Shopify’s policies.

SECTION 12 – PROHIBITED USES

You may not use the Services for unlawful purposes, including:

  • Misuse of alcohol products
  • Fraudulent transactions
  • Breach of laws or regulations

SECTION 13 – DISCLAIMER OF WARRANTIES

All products and services are provided “as is”.

Wine is a natural product and may vary. We do not guarantee taste preferences or subjective satisfaction.

SECTION 14 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, Open Cellar is not liable for indirect or consequential loss, including loss of enjoyment or dissatisfaction with product choice.

SECTION 15 – INDEMNITY

You agree to indemnify Open Cellar against claims arising from misuse of the Services or breach of these Terms.

SECTION 16 – GOVERNING LAW

These Terms are governed by the laws of Scotland, and disputes will be subject to Scottish courts.

SECTION 17 – CHANGES TO TERMS

We may update these Terms at any time. Continued use constitutes acceptance.
